The Yellowknife Amateur Radio Society bylaws date from 1997 and may be found at: Download YARS Constitution 1997 . They are out of date and do not reflect current Society procedures or aspects of the current Societies Act under which the Society is incorporated. The GNWT Societies Registry has some public resources about amending bylaws. This will cost the Society $20. While the file name says Constitution, the title of the document is Yellowknife Amateur Radio Society Bylaws. Therefore this is a bylaws project.
The manner of effecting the change is set out in sections 5 and 6 of the Societies Act. The bylaws can be rescinded, altered or added to at the AGM or by extraordinary resolution only. A list of things that must be in the bylaws is presented in section 5 of the Act. We are probably looking at a repeal and replace. Areas that need to be addressed include:
- proxy voting;
- directors' liability;
- membership fees;
- policies;
- an emergency plan.
Two forms will be required:
- the Amendments to the New Bylaws or Specific Bylaw Amendment(s);
- the Bylaws Template, if the bylaws do not meet that specification.
Volunteers for the Committee will be sought. While this project sounds administratively boring, it is a fundamental aspect of the governance of a society. This is actually very interesting and has its analogue in the preparation of bylaws for other societies and even business corporations. Imagine what kind of sorry society we might live in were we all F-14 Tomcat fighter pilots.
